Direct Counsel is representing an Am Law 100 firm seeking an experienced M&A Associate Attorney to join its Corporate Practice Group in the Miami office. This position offers a dynamic opportunity to work on sophisticated public and private M&A and private equity transactions, serving clients across a wide range of industries nationwide.

Key Responsibilities:
Represent buyers, sellers, and private equity firms in high-value domestic and cross-border M&A transactions.
Draft and negotiate acquisition agreements, investment documents, and supporting corporate documentation.
Lead and coordinate due diligence processes and manage legal teams throughout deal lifecycle.
Advise on corporate governance, compliance, and general corporate matters.
Collaborate with cross-practice teams and assist in mentoring junior associates.
Requirements:
Minimum of 4 years of experience with public and private M&A transactions, including private equity.
Deep familiarity with acquisition agreements and M&A deal structures.
Excellent drafting skills, academic credentials, and professional judgment.
Strong interpersonal skills and ability to handle high-volume, fast-paced workload.
Experience leading due diligence teams and transaction management from inception to close.
General corporate and corporate governance experience is a plus.
Must be admitted to the Florida Bar or eligible for admission.
